1. Agreement
This Software Licence Agreement ("Agreement") is between you and SYMBIOGENESIS PRIVATE LIMITED and governs your installation and use of Litmous AI software ("Software").
By installing, copying or using the Software, you accept this Agreement. If you do not accept it, do not install or use the Software.
2. Licence grant
Subject to this Agreement and any release-specific commercial terms that apply, Symbiogenesis grants you a limited, non-exclusive, non-transferable and revocable licence to install and use the Software for lawful personal or internal business purposes.
The Software is licensed, not sold. No ownership of the Software or underlying intellectual property is transferred to you.
3. Permitted installation
You may install and operate the Software on devices that you own, control or are otherwise authorised to use, subject to technical limitations and any applicable commercial licence terms.
4. Restrictions
Except to the extent expressly permitted by applicable law or a separate written licence, you must not:
- sell, sublicense, rent or commercially redistribute the Software as a standalone product;
- circumvent licence, authentication, integrity or security controls;
- modify the Software for the purpose of defeating technical restrictions;
- reverse engineer, decompile or disassemble the Software except where applicable law expressly permits that activity notwithstanding this restriction;
- remove proprietary notices; or
- use the Software in violation of applicable law.
5. Your data and knowledge
Materials, knowledge bases, documents and other sources that you lawfully use with Litmous remain subject to your rights and the rights of their respective owners.
You are responsible for securing your local data and for maintaining appropriate backups where necessary.
6. Connected services and installation identity
The Software may communicate with Litmous services for functions such as release delivery, installation registration, compatibility, version information, security and other connected features.
A Litmous installation may use a randomly generated UUID and client credential. The installation identifier is not intended to be a hardware fingerprint.
7. Optional diagnostics, analytics and reporting
Optional diagnostic, analytics, conversation-reporting and feedback functions are governed by the Privacy Policy and Data & Telemetry Notice.
The existence of one type of consent does not constitute consent to another separately defined reporting scope.
Conversation reporting requires the applicable conversation-reporting consent. Diagnostic health reporting requires diagnostics consent.
8. Updates and releases
Symbiogenesis may issue updates, replacements, security fixes or new releases. A release may change features, compatibility, components or technical requirements.
Older releases may be withdrawn where reasonably necessary for security, compatibility, legal or product reasons.
9. Third-party and open-source components
The Software may contain third-party or open-source components. Those components remain subject to their applicable licence terms, notices and attribution requirements.
Where a third-party licence grants rights that differ from this Agreement for that component, the third-party licence controls for that component to the extent required.
10. Product operation and outputs
Litmous performs computational processing and may rely on knowledge supplied to it. Results can be affected by source quality, available knowledge, configuration, software state and the request presented to the system.
You are responsible for evaluating whether an output is appropriate for your intended use, particularly where it may affect important legal, financial, health, safety, employment or other interests.
11. Security
You must take reasonable steps to protect the device on which the Software is installed, including local data, installation credentials and access to Litmous.
You must not knowingly interfere with Litmous security, integrity or connected-service authentication.
12. Warranty disclaimer
To the fullest extent permitted by applicable law, the Software is provided without warranties that may lawfully be excluded, including any implied warranty that the Software will be uninterrupted, error-free or suitable for every particular purpose.
Nothing in this Agreement excludes statutory warranties or consumer rights that cannot lawfully be excluded.
13. Limitation of liability
To the fullest extent permitted by applicable law, Symbiogenesis will not be liable for indirect, consequential, special or incidental loss arising from the Software, including loss of profits, revenue, business opportunity or data where such limitation is lawful.
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
14. Termination
This licence terminates if you materially breach this Agreement and fail to remedy the breach where a remedy is available and required by law.
On termination, you must cease use of the Software and remove copies where legally required, except for components or material governed by separate rights that survive termination.
15. Governing law
This Agreement is governed by the laws of India, without prejudice to mandatory rights that applicable law may give you.
Disputes shall be subject to courts or tribunals having competent jurisdiction under applicable law in India, except where mandatory law provides otherwise.
16. Entire agreement and severability
This Agreement, together with any applicable release-specific commercial terms and incorporated legal notices, constitutes the agreement governing the Software.
If a provision is held unenforceable, the remaining provisions continue to apply to the extent permitted by law.
